Terms of Service

These Terms of Service ("Terms") govern your use of the eCom Central service provided by eCom Central Inc. ("eCom Central", "we", "us"). By creating an account or using the service, you agree to these Terms on behalf of yourself and the business you represent ("Customer").

1. Subscription and pricing

• The subscription costs 149.99 USD per entity per month and includes 1 user seat.
• Additional seats cost 29 USD per seat per month.
• Prices exclude applicable taxes unless stated otherwise.

2. Free trial

New customers get a 14-day free trial. No credit card is required to start the trial. At the end of the trial you can choose to subscribe or your trial will end.

3. Billing and cancellation

Subscriptions are billed monthly in advance. You can cancel at any time; cancellation takes effect at the end of the current billing period, and fees already paid are non-refundable except where required by law.

4. Acceptable use

You agree not to:

• use the service for any unlawful purpose or in violation of any third-party rights;
• attempt to gain unauthorized access to the service or other customers' data;
• reverse engineer, resell or sublicense the service without our written consent;
• interfere with or disrupt the integrity or performance of the service.

5. Your data

Customer owns all data it submits to or connects with the service. You grant us a limited license to process that data solely to provide the service, as described in our Privacy Policy.

6. Marketplace and third-party compliance

Customer is responsible for its own compliance with the policies, agreements and terms of any marketplace or third-party service it connects to eCom Central, including marketplace seller policies and QuickBooks Online terms.

7. Warranty disclaimer

The service is provided "as is" and "as available". To the maximum extent permitted by law, eCom Central disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. The service does not provide tax, legal or accounting advice.

8. Limitation of liability

To the maximum extent permitted by law, eCom Central will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the service is limited to the amounts paid by Customer in the 12 months before the claim.

9. Termination

You may terminate by cancelling your subscription. We may suspend or terminate access if you materially breach these Terms or fail to pay fees when due. On termination, your data is deleted as described in our Privacy Policy.

10. Changes to these Terms

We may update these Terms. Material changes will be notified to account holders by email before they take effect.

11. Governing law

These Terms are governed by the laws of the State of New York, without regard to its conflict of laws rules.
